1. Introduction and Acceptance of Terms

Welcome to Pros in Health ("PIH," "we," "us," or "our"). Pros in Health is a mobile application and related services operated by Pros in Health LLC, a Wyoming limited liability company.

By creating an account, accessing, or using the Pros in Health mobile application ("App"), website (prosinhealth.com), or any related services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes through the App or via email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you are at least 18 years old, are capable of entering into a binding agreement, and that all information you provide during registration is accurate, current, and complete.

3. Account Registration and Security

To access certain features, you must create an account by providing your name, email address, professional information (including role, credentials, and experience level), and a password. You may also sign in using third-party authentication providers (Google or Apple).

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized access to or use of your account.

3.3 Account Accuracy

You agree to provide and maintain accurate, current, and complete information in your profile. Misrepresentation of professional credentials, certifications, or qualifications is strictly prohibited and may result in account termination.

3.4 Account Deletion

You may delete your account at any time through the App's settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Certain data may be retained as required by law or for legitimate business purposes as described in our Privacy Policy.

Pros in Health provides the following features and services:

• Role Directory: A reference database of professional roles within health information management and related fields.
• Discover (Industry News): Curated industry news and articles from third-party sources, with AI-generated summaries.
• Pulse AI Assistant: An AI-powered informational assistant that provides general guidance on coding concepts, career questions, and professional topics.
• Document Storage: Ability to upload and store professional documents such as resumes and credential certificates.

5. AI-Powered Features — Important Disclaimers

5.1 General AI Disclaimer

The Services include features powered by artificial intelligence, including but not limited to Pulse AI Assistant, Career Pathways, article summaries, and job recommendation matching (collectively, "AI Features"). AI Features are powered by third-party AI models and are provided strictly for informational and educational purposes only.

5.2 AI Is Not Professional Advice

AI-generated content does not constitute professional advice of any kind, including but not limited to career counseling, legal advice, financial advice, medical advice, coding compliance guidance, or credentialing guidance. AI responses are generated by machine learning models and may contain errors, inaccuracies, outdated information, or omissions.

5.3 Career Pathways Disclaimer

Career Pathways are illustrative suggestions based on general industry data and publicly available information. They represent possible — not guaranteed — career routes. Pathways do not account for your specific circumstances, including but not limited to your geographic location, employer requirements, individual qualifications, market conditions, or personal situation. Career Pathways are not a substitute for consultation with qualified career counselors, credentialing bodies, employers, or educational institutions.

5.4 Coding and Compliance Disclaimer

Any information provided by AI Features regarding medical coding guidelines, ICD-10-CM, CPT, HCPCS, compliance rules, or related topics is general informational guidance only. It should never be used as the sole basis for coding decisions, compliance determinations, or clinical documentation. Always verify information against official guidelines published by CMS, AHA, AMA, AHIMA, AAPC, and your facility's compliance policies.

5.5 No Guarantees of Outcomes

Use of the Services, including AI Features, does not guarantee any specific outcome, including but not limited to employment, salary attainment, career advancement, credential acquisition, CEU approval, or any other professional outcome.

5.6 User Responsibility

You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information provided through AI Features. You agree to independently verify all AI-generated content before relying on it for any decision, particularly decisions related to your career, credentials, compliance obligations, or professional practice.

5.7 AI Data Processing

AI Features process your inputs (messages, profile context, uploaded documents) through third-party AI service providers. By using AI Features, you acknowledge and consent to this processing. Do not submit sensitive personal information, protected health information (PHI), patient data, or confidential employer information through AI Features. 6. Job Listings Disclaimer

Job listings displayed in the App are aggregated from third-party job platforms and external sources. Pros in Health does not:

• Verify the accuracy, legitimacy, or availability of any job listing
• Guarantee that any job listing is current or actively hiring
• Endorse any employer, recruiter, or staffing agency
• Act as an employment agency or staffing service
• Guarantee employment or interview outcomes

When you apply for a job through the App, you are redirected to the original job posting on an external website. Your application and any subsequent interactions are solely between you and the employer or job platform. Pros in Health is not a party to and bears no responsibility for any employment relationship or hiring decision.

7. CEU Tracking and CEU Listings Disclaimer

7.1 CEU Tracker

The CEU Tracker is a personal organizational tool to help you log and monitor your continuing education activities. Pros in Health does not report CEU data to any credentialing body, employer, or regulatory agency. You are solely responsible for ensuring your CEU records are accurate and that your continuing education activities satisfy the requirements of your specific credentialing organizations.

7.2 CEU Opportunity Listings

CEU opportunity listings are curated for informational purposes. Pros in Health does not guarantee that any listed CEU activity will be accepted by your credentialing body, meets specific accreditation standards, or is currently available. Always verify CEU eligibility, accreditation status, and acceptance with your specific credentialing organization (e.g., AHIMA, AAPC) before enrolling.

8. Industry News and Articles Disclaimer

The Discover section provides curated links to articles published by third-party sources (e.g., CMS.gov, AHIMA, AAPC, Becker's Hospital Review, Healthcare Dive). Article summaries and key takeaways may be generated by AI and may not fully or accurately represent the original article's content. Pros in Health does not create, endorse, or take responsibility for the accuracy of third-party content. Always read the full original article for complete information.

9. Role Directory and Salary Data Disclaimer

The Role Directory provides general reference information about professional roles in health information management and related fields. Salary ranges are estimates based on publicly available industry data and surveys. Actual salaries vary significantly based on geographic location, employer, experience, credentials, market conditions, and other factors. Role descriptions, credential requirements, and career progression data are general guidance and may not reflect the requirements of any specific employer or organization.

10. Subscription and Payments

10.1 Free and Paid Tiers

The Services are available in free and paid subscription tiers. Free users have access to core features with usage limitations as described in the App. Paid subscribers ("Founding Members" and future subscription tiers) receive enhanced access as described at the time of purchase.

10.2 Billing

Paid subscriptions are billed through Apple's App Store. By subscribing, you agree to Apple's terms of payment. All billing, payment processing, and refund requests for subscriptions purchased through the App Store are handled by Apple in accordance with Apple's applicable terms and policies.

10.3 Founding Member Pricing

Founding Member pricing is offered to the first 500 paid subscribers. Founding Members are guaranteed their subscription rate for the life of their continuous subscription. If a Founding Member cancels and later resubscribes, the Founding Member rate is not guaranteed upon resubscription.

10.4 Cancellation

You may cancel your subscription at any time through your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Refund requests should be directed to Apple in accordance with Apple's refund policies.

10.5 Changes to Pricing

We reserve the right to change subscription pricing for future subscribers. Existing subscribers will be notified of any price changes that affect their subscription in advance and in accordance with Apple's policies.

11. User Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Misrepresent your identity, credentials, professional qualifications, or certifications
• Upload or transmit any content that is defamatory, obscene, threatening, harassing, or otherwise objectionable
• Submit any patient data, protected health information (PHI), or confidential employer information through any feature of the App, including AI Features
• Attempt to gain unauthorized access to other users' accounts or any part of the Services' infrastructure
• Use automated tools, bots, scrapers, or any non-human means to access or interact with the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Reproduce, redistribute, or commercially exploit the Services or any content therein without prior written consent
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use the Services to collect or store personal information about other users without their consent

12. Intellectual Property

12.1 Our Property

The Services, including all content, features, functionality, design, text, graphics, logos, icons, software, the role database, career pathway logic, and underlying technology, are the exclusive property of Pros in Health LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Pros in Health™ is a trademark of Pros in Health LLC. You may not use our trademarks, trade names, or branding without prior written consent.

12.2 Your Content

You retain ownership of content you upload to the Services (e.g., resumes, certificates, profile information). By uploading content, you grant Pros in Health LLC a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Services to you.

12.3 Feedback

If you provide suggestions, ideas, or feedback regarding the Services, you grant us an unrestricted, irrevocable, perpetual license to use such feedback for any purpose without compensation to you.

13. Copyright Infringement (DMCA)

Pros in Health LLC respects the intellectual property rights of others. If you believe that any content on the Services infringes your copyright, please send a notice to [email protected] containing:

• A description of the copyrighted work you claim has been infringed
• A description of where the allegedly infringing material is located within the Services
• Your contact information (name, address, telephone number, and email address)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

We will respond to valid DMCA notices in accordance with applicable law and may remove or disable access to the allegedly infringing content. Repeat infringers may have their accounts terminated.

14. Third-Party Services and Links

The Services contain links to and integrations with third-party websites, services, and content, including job platforms, CEU providers, news publishers, and AI service providers. These third-party services are governed by their own terms and privacy policies. Pros in Health does not endorse, control, or assume responsibility for any third-party content or services.

15. Apple iOS Terms

The following terms apply to your use of the App downloaded from Apple's App Store:

15.1 Acknowledgment

These Terms are between you and Pros in Health LLC only, and not with Apple Inc. ("Apple"). Pros in Health LLC, not Apple, is solely responsible for the App and its content.

15.2 Scope of License

The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in Apple's Media Services Terms and Conditions.

15.3 Maintenance and Support

Pros in Health LLC is solely responsible for providing any maintenance and support services with respect to the App. Apple has no obligation to provide any maintenance or support services.

15.4 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.

15.5 Product Claims

Pros in Health LLC, not Apple, is responsible for addressing any claims relating to the App, including but not limited to product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

15.6 Intellectual Property Claims

In the event of any third-party claim that the App infringes that third party's intellectual property rights, Pros in Health LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

15.7 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the App. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15.8 Legal Compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

16. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROS IN HEALTH LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE INFORMATION PROVIDED THROUGH THE SERVICES (INCLUDING AI-GENERATED CONTENT, JOB LISTINGS, CEU LISTINGS, SALARY DATA, CAREER PATHWAYS, AND ROLE INFORMATION) WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT
• ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED
• THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROS IN HEALTH LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OF OR INABILITY TO USE THE SERVICES
• ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING BUT NOT LIMITED TO CAREER DECISIONS, EMPLOYMENT CHANGES, EDUCATION INVESTMENTS, CREDENTIAL PURSUITS, CODING DECISIONS, OR COMPLIANCE DETERMINATIONS
• ANY AI-GENERATED CONTENT, INCLUDING CAREER PATHWAYS, CODING GUIDANCE, OR PROFESSIONAL RECOMMENDATIONS
• ANY JOB LISTING, CEU LISTING, OR THIRD-PARTY CONTENT ACCESSED THROUGH THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

18. Indemnification

You agree to indemnify, defend, and hold harmless Pros in Health LLC, its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit through the Services
• Any misrepresentation of your credentials or professional qualifications
• Any decisions you make based on information obtained through the Services

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

19.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may initiate binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Wyoming. Each party shall bear its own costs of arbitration.

19.3 Class Action Waiver

YOU AND PROS IN HEALTH LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

20. Termination

20.1 By You

You may terminate your account at any time by deleting your account through the App settings or by contacting us at [email protected].

20.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable. We also reserve the right to discontinue the Services at any time.

20.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pros in Health LLC regarding the Services.

21.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
